1.Definitions

For purposes of these Terms:

Company: GKAI Capital, located at 8425 NW 41st Street, Suite 354, Miami, FL 33166.

Website: The GKAI Capital website located at https://gkaicapital.com and related webpages operated by GKAI Capital.

Services: Financing inquiries, preliminary qualification, transaction evaluation, capital-alignment assistance, referral coordination, educational resources, Partner Network services, authorized portal features, communications, and related activities provided by GKAI Capital.

User: Any individual or organization accessing the website, submitting information, requesting financing assistance, participating in the Partner Network, accessing educational resources, or otherwise using GKAI Capital services.

Applicant: An individual, business, or authorized representative submitting a financing inquiry, Quick Application, or related transaction information.

Partner: An individual or organization approved or otherwise authorized to participate in the GKAI Capital Partner Network.

Partner Portal: A restricted-access online environment through which authorized partners may access available educational resources, reference materials, referral tools, communications, and other permitted services.

Capital Provider: An independent bank, financing company, private capital source, or other third party that may evaluate or provide financing.

Quick Application: An initial financing inquiry process used to collect preliminary information about a potential financing opportunity.

2.Eligibility and Authorized Use

You must be at least 18 years old to submit a financing inquiry, apply for partner access, or use services intended for adults.

By using our services, you represent that:

• You are at least 18 years old.
• You have the legal capacity to enter into these Terms.
• Information you submit is accurate and provided in good faith.
• You are authorized to act on behalf of any business, borrowing entity, property owner, or other party you represent.
• You will use GKAI Capital services only for lawful purposes.

If you act on behalf of a business or organization, you represent that you have the necessary authority to provide information and undertake the relevant activities on its behalf.

GKAI Capital may request additional information to verify identity, authority, or eligibility.

3.Nature and Scope of GKAI Capital Services

GKAI Capital provides financing brokerage, preliminary qualification, transaction evaluation, capital-alignment assistance, and related coordination services for real estate and business financing opportunities.

Our services may include:

• Receiving and reviewing financing inquiries
• Evaluating preliminary transaction information
• Identifying potential financing paths
• Reviewing proposed financing structures
• Organizing transaction documentation
• Assessing capital requirements and financing objectives
• Coordinating information with independent capital providers
• Facilitating communications among authorized transaction participants
• Providing financing education and informational resources
• Supporting professional referral relationships
• Offering technology-assisted tools and operational resources

GKAI Capital is not a direct lender.

GKAI Capital does not independently approve or fund loans, establish binding lending commitments, or make final underwriting decisions on behalf of independent capital providers.

Any financing opportunity is subject to the applicable capital provider's requirements, due diligence, underwriting, documentation, availability of funds, and final approval.

GKAI Capital may determine that a financing inquiry does not meet its preliminary evaluation criteria or that no suitable financing path has been identified.

Submission of an inquiry does not obligate GKAI Capital to arrange financing or require any capital provider to review or approve a transaction.

4.Financing Inquiries and Quick Applications

The GKAI Capital Quick Application is intended to initiate a financing conversation and collect preliminary transaction information.

Submitting a Quick Application:

• Does not constitute a formal loan approval
• Does not create a binding financing commitment
• Does not guarantee eligibility for any financing program
• Does not guarantee a particular interest rate, fee structure, loan amount, or repayment term
• Does not establish that a capital provider has accepted or agreed to review the transaction
• Does not obligate GKAI Capital to secure financing

Additional documentation, verification, disclosures, authorizations, and application procedures may be required before a transaction can be evaluated by a potential capital provider.

You acknowledge that preliminary financing discussions, estimates, educational examples, and indicative structures are not binding offers.

Any financing terms ultimately offered by an independent capital provider may differ from preliminary discussions.

5.Accuracy, Completeness, and Authorization of Information

You agree to provide information that is accurate, current, and complete to the best of your knowledge.

You are responsible for ensuring that information submitted through our website, applications, partner resources, communications, or other services is not knowingly false, misleading, or unauthorized.

You agree not to:

• Misrepresent property ownership, business ownership, financial condition, or borrowing authority
• Submit falsified or materially misleading documents
• Conceal material information when responding to a specific request
• Submit confidential information belonging to another person without appropriate authority
• Impersonate another individual or organization
• Use GKAI Capital services to facilitate fraud or unlawful activity

GKAI Capital may request clarification, supporting documentation, or verification before continuing an evaluation.

We reserve the right to decline, suspend, or discontinue services when submitted information is materially inaccurate, incomplete, misleading, or otherwise unsuitable for further processing.

6.Independent Capital Providers and Third-Party Financing

GKAI Capital may identify, communicate with, or coordinate financing opportunities involving independent capital providers.

Capital providers operate independently and maintain their own financing criteria, underwriting standards, documentation requirements, pricing, and approval procedures.

GKAI Capital does not control or guarantee:

• Whether a capital provider will accept a financing request
• Whether financing will be approved
• The timing of underwriting or closing
• Interest rates, fees, or other financing terms
• The availability of particular financing programs
• The conduct or performance of an independent capital provider

Any binding financing commitment must be established through the applicable capital provider's authorized documentation and procedures.

You are responsible for reviewing proposed financing terms, disclosures, obligations, and agreements before entering into a transaction.

Where applicable, separate engagement agreements, fee disclosures, authorizations, or transaction-specific terms may govern GKAI Capital's involvement.

Nothing in these Terms replaces disclosures or agreements required by applicable law.

7.Financing Costs, Fees, and Compensation

Financing transactions may involve interest, origination charges, brokerage compensation, underwriting expenses, appraisal fees, legal fees, closing costs, and other transaction-related expenses.

The existence, amount, timing, and responsibility for such charges depend on the transaction, applicable agreements, capital-provider requirements, and governing law.

GKAI Capital does not represent that all financing opportunities are free of fees or expenses.

Any compensation payable to GKAI Capital, where applicable, will be addressed through appropriate disclosures, agreements, or other legally required documentation.

Partners may not independently promise, negotiate, collect, or represent GKAI Capital compensation arrangements unless expressly authorized.

Nothing in these Terms creates an obligation to pay a brokerage fee or referral compensation that has not otherwise been validly established.

8.GKAI Capital Partner Network

GKAI Capital may provide professional partners with access to financing education, capital resources, referral tools, and other authorized services.

Participation in the Partner Network is subject to GKAI Capital's application, review, approval, and continuing eligibility requirements.

Submitting a partner application does not guarantee acceptance.

Approved partners may be permitted to:

• Access designated educational and reference resources
• Identify and refer potential financing opportunities
• Submit authorized transaction information
• Communicate with GKAI Capital regarding referrals
• Use approved partner tools and portal features
• Participate in other activities expressly authorized by GKAI Capital

Participation in the Partner Network does not automatically create an employment, agency, franchise, joint venture, fiduciary, or legal partnership relationship.

Unless expressly authorized in a separate written agreement, partners may not bind GKAI Capital, issue financing commitments on its behalf, or represent themselves as employees, officers, lenders, or authorized agents of GKAI Capital.

Partners remain responsible for complying with laws, licensing requirements, professional standards, and disclosure obligations applicable to their own activities.

9.Partner Referrals and Professional Responsibilities

Partners who submit financing opportunities must have appropriate authority to disclose the relevant information.

Partners are responsible for obtaining any legally required permissions or consents from borrowers, business owners, property owners, and other affected parties before transmitting confidential or financial information.

Partners agree not to:

• Guarantee financing approval or funding
• Represent preliminary information as a binding financing offer
• Misstate GKAI Capital's role or capabilities
• Provide unauthorized commitments on behalf of GKAI Capital
• Misrepresent their licensing, professional qualifications, or affiliation
• Submit financing opportunities obtained through unlawful or deceptive practices
• Use borrower information for unauthorized purposes

Referral submissions may be subject to review, qualification, and acceptance by GKAI Capital.

No referral compensation, commission, revenue sharing, or other payment is earned or guaranteed merely by joining the Partner Network or submitting a referral.

Any referral compensation must be expressly established in a separate written agreement and must comply with applicable federal and state laws, licensing requirements, and restrictions on compensation for referrals.

GKAI Capital may decline or restrict referral arrangements where compensation or participation would be prohibited or otherwise legally inappropriate.

10.Partner Portal Accounts and Access

GKAI Capital may provide approved partners with access to a restricted Partner Portal.

Access may include educational materials, financing reference information, communication tools, referral resources, and other authorized features.

Portal users agree to:

• Maintain the confidentiality of their login credentials
• Use only accounts assigned or authorized for their use
• Protect confidential information accessed through the portal
• Notify GKAI Capital promptly of suspected unauthorized account access
• Avoid sharing protected materials or account access without permission
• Use portal features only for authorized business purposes

GKAI Capital may establish different access levels, permissions, and eligibility requirements for different resources.

Portal access may be modified, suspended, or terminated when reasonably necessary for security, compliance, operational reasons, or enforcement of applicable agreements.

GKAI Capital does not guarantee uninterrupted availability of portal features.

11.Educational Resources and Financing Information

GKAI Capital may publish educational materials, financing explanations, transaction examples, reference guides, training modules, and other informational resources.

These materials are provided for general educational and informational purposes.

Financing structures, eligibility requirements, pricing, capital-provider preferences, and market conditions may change without notice.

Educational examples may be simplified and may not reflect every relevant legal, financial, underwriting, or transaction consideration.

GKAI Capital does not guarantee that completing educational materials, participating in training, or using partner resources will result in financing approvals, referrals, business opportunities, revenue, or other financial outcomes.

Users are responsible for applying independent judgment and obtaining qualified professional advice where appropriate.

12.Technology-Assisted Services and Artificial Intelligence

GKAI Capital may use automation, analytical systems, and artificial intelligence-assisted tools to support financing intake, information organization, preliminary analysis, educational resources, and related workflows.

These systems may generate explanations, summaries, preliminary observations, document requests, or other informational outputs.

You acknowledge that:

• Automated outputs may contain errors, omissions, or outdated information.
• AI-generated information may not account for all relevant transaction circumstances.
• Preliminary assessments are not binding financing decisions.
• Automated responses do not constitute legal, tax, accounting, or individualized investment advice.
• Independent capital providers retain responsibility for their own underwriting and approval decisions.
• Human review or additional verification may be necessary before information is relied upon.

Users should not submit sensitive personal or financial information into general educational chat tools unless the applicable tool is expressly designated and authorized for that purpose.

GKAI Capital may restrict the use of automated tools or modify their availability as operational needs evolve.

Nothing generated by an AI-assisted system constitutes a binding commitment by GKAI Capital or any independent capital provider.

13.Communications and Electronic Notices

By providing contact information and requesting services, you acknowledge that GKAI Capital may communicate with you regarding your inquiry, application, account, referral, or other authorized business activity.

Communications may occur through email, telephone, website forms, portal notifications, or SMS where permitted by law.

You agree to provide accurate contact information and notify GKAI Capital of material changes when relevant to an active inquiry or account.

Electronic communications may include operational notices, requests for information, appointment updates, service announcements, and other communications relating to requested services.

Where legally required, GKAI Capital will obtain separate consent before delivering particular categories of electronic or automated communications.

14.SMS Messaging Terms

Message and Data Rates: Standard message and data rates may apply.

Mobile carriers are not responsible for delayed or undelivered messages.

Consent to receive promotional SMS messages is not a condition of obtaining financing assistance, purchasing services, or participating in the Partner Network.

GKAI Capital does not sell or share SMS opt-in consent information or associated mobile telephone numbers with third parties or affiliates for their own marketing purposes.

Messaging service providers may process information on our behalf to deliver authorized messages and maintain operational and compliance records.

15.Email and Marketing Communications

GKAI Capital may send emails concerning financing inquiries, partner applications, account administration, educational resources, and service-related matters.

Recipients may unsubscribe from marketing emails using the instructions provided in those messages or by contacting GKAI Capital.

Unsubscribing from marketing communications may not prevent necessary transactional, security, account-related, or other nonpromotional communications.

16.Intellectual Property and Permitted Use

Unless otherwise indicated, the GKAI Capital name, logos, trademarks, website designs, original written content, educational materials, proprietary frameworks, graphics, and other company-created resources are owned by GKAI Capital or used with appropriate permission.

This includes GKAI Capital's proprietary branding and educational frameworks, including GKAI CAT™, to the extent protected by applicable intellectual property law.

Users receive a limited, nonexclusive, nontransferable, revocable permission to access and use website content and authorized resources for their intended purposes.

Without prior written authorization, users may not:

• Reproduce or redistribute protected GKAI Capital materials for commercial purposes
• Resell or sublicense educational resources or portal content
• Remove proprietary notices or attribution

• Circumvent authentication or security controls
• Introduce malicious software or interfere with system operations
• Scrape, harvest, or extract protected information through unauthorized automated methods
• Misuse confidential borrower, partner, or transaction information
• Send unauthorized commercial messages using GKAI Capital systems
• Misrepresent affiliation with or authority to act for GKAI Capital
• Violate applicable laws, regulations, or third-party rights

GKAI Capital may investigate suspected misuse and take appropriate action, including restricting access, terminating participation, or referring matters to appropriate authorities where warranted.

Access to information through a website, portal, communication, or referral process does not grant permission to disclose, distribute, or commercially exploit that information.

Additional confidentiality or data-processing requirements may apply under separate agreements.

Third-party services may be governed by their own terms, policies, and contractual arrangements.

GKAI Capital does not control the independent decisions, policies, availability, or performance of third-party capital providers or external platforms.

To the extent permitted by applicable law, GKAI Capital is not responsible for losses arising solely from third-party activities outside its reasonable control.

Nothing in this section limits responsibility that cannot lawfully be excluded.

20.No Professional Advice or Financing Guarantees

Information provided through GKAI Capital's website, communications, educational resources, or technology-assisted tools is not a substitute for individualized legal, tax, accounting, or investment advice.

Although GKAI Capital may discuss financing structures, capital requirements, and transaction considerations, users remain responsible for consulting appropriate qualified professionals regarding their specific circumstances.

22.Limitation of Liability

This provision does not require indemnification for losses caused by GKAI Capital's own unlawful conduct or other matters for which indemnification is prohibited by law.

24.Suspension and Termination

26.Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal law or other mandatory legal protections control.

To the extent permitted by applicable law, disputes arising from these Terms or use of GKAI Capital's general website and services shall be brought in the appropriate state or federal courts located in Miami-Dade County, Florida.

Each party consents to the jurisdiction of those courts for disputes properly subject to this provision.

This section does not override mandatory jurisdiction, venue, arbitration, or dispute-resolution requirements established by applicable law or a separate enforceable agreement.

27.Severability and Waiver

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain effective to the extent permitted by law.

GKAI Capital's failure to enforce a provision on one occasion does not constitute a waiver of its right to enforce that provision in the future.
